[Brief Income Disclosure Context – Not for Publication]
Whenever an income claim is made, regulators, the Federal Trade Commission (“FTC”) in particular, require “that a company have a reasonable basis for earnings claims at the time the claim is made.” In other words, the company must have proper substantiation behind the claim. The FTC has continued to purposely be vague in this regard.
Whenever income is referenced, in whatever format, an Income Disclaimer needs to be provided. There are two key reasons referenced in nearly every complaint filed by regulators against direct sales companies: the first and main reason is lack of external sales, and the second reason is grossly exaggerated income claims made by field leaders without proper substantiation. When a company creates discipline in its leaders to properly use income disclaimer statements, it’s a great hedge against a serious risk factor. The FTC has recently sought to have income claims be “typical” of the average participant so as to not fall into the misleading/deceptive characterization.
The Income Disclaimer needs to be provided when income claims are made. Express income claims are claims that occur when various scenarios are provided, such as, “Put 50 people in your business, earn X dollars.” Implied income claims are usually the most common and occur when speakers reference lavish lifestyles, nice homes, cars and any form of success that can be achieved by way of the business. Whenever an income claim is made, a disclaimer needs to be provided in the same font or format as the statement that triggered it. As an example, if I say, “Buy the home you’ve always wanted” in bold, larger than normal font, the disclaimer technically needs to be made in the exact same format.
Upon accumulating enough data on what your distributors make over the course of the first year to year and a half in business, you should create an Income Disclosure Statement (“IDS”). An IDS provides a statistical breakdown of what all the distributors at the various ranks can expect to earn. The line is not always clear as to what this may mean as the FTC has been pushing the terms “typical” and “net impression” when referencing earnings claims. This means that any claim must have substantiation that the typical participant can expect to earn what is claimed, after expenses and the claim must display an accurate net impression to the casual observer not familiar with your business.
It’s become more of an art, not a science, so we are happy to assist here. The main goal with income disclaimers is to create a solid insurance policy and to limit risk as much as possible because you will unfortunately never eliminate risk entirely. These are merely introductory examples above. Feel free to get creative as long as the general guidelines are followed.
